1. Acceptance of Terms
These Terms of Service (“Terms”) govern access to and use of the DropPoint platform and any related websites, applications, APIs, or services (collectively, the “Service”) provided by [LEGAL ENTITY NAME], with its registered address at [registered address] and VAT/P.IVA number [NUMBER] (“DropPoint”, “we”, “us”, or “our”).
By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of a company, organization, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms, and “you” and “your” will refer to that entity.
If you do not agree to these Terms, do not use the Service.
2. Description of the Service
DropPoint is a multi-tenant marketing analytics SaaS. The Service allows users to connect their own third-party accounts — including TikTok, Instagram/Meta, Google Search Console, and Shopify — and aggregates, analyzes, and displays the resulting analytics data in a single interface. DropPoint does not create, post, or manage content on connected platforms on your behalf unless explicitly agreed in a separate writing.
Features, supported platforms, and data refresh intervals may vary by subscription plan and are described on our website or within your account. We may update or modify the Service from time to time, including adding or removing features.
3. Eligibility
You must be at least 18 years old and capable of entering into a binding contract to use the Service. Business users, including agencies and brands, warrant that the person accepting these Terms has authority to bind the organization. DropPoint may refuse service or terminate accounts that violate eligibility requirements.
4. Accounts & Security
To use the Service, you must create an account and provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to notify us promptly at [legal@droppoint.app] of any unauthorized use or suspected security breach.
5. Third-Party Platform Connections
The Service relies on connections to third-party platforms such as TikTok, Meta (Instagram and Facebook), Google (including Google Search Console), and Shopify (each, a “Connected Platform”).
By connecting a third-party account, you authorize DropPoint to access and retrieve data from that account through the platform’s API or OAuth mechanism, solely for the purpose of providing analytics and reporting to you. This access is generally read-only analytics data, meaning DropPoint retrieves and displays data but does not post, publish, modify, or delete content on your Connected Platforms unless a specific feature you enable explicitly requires it.
You may disconnect any Connected Platform at any time from within your DropPoint account settings. Disconnection stops future data imports but does not delete data already processed by DropPoint; deletion rights are described in Section 9 and our Privacy Policy.
Your use of each Connected Platform remains subject to that platform’s own terms of service, privacy policy, developer terms, and API policies. DropPoint is not affiliated with, endorsed by, or sponsored by TikTok, Meta, Google, or Shopify, and references to those platforms are for descriptive purposes only.
You represent and warrant that you own or have all necessary rights and permissions to connect each account and to allow DropPoint to process the data received from it on your behalf. DropPoint’s use and transfer of data received from Connected Platform APIs complies with each platform’s applicable developer terms, data policies, and platform requirements.
6. Acceptable Use / Prohibited Conduct
You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not:
- use the Service to violate any applicable law, regulation, or the rights of any third party;
- attempt to gain unauthorized access to the Service, other users’ accounts, or our systems or networks;
- use the Service to send spam, malware, or any other harmful or disruptive content;
- reverse engineer, decompile, or extract source code from the Service except as expressly permitted by law;
- share, resell, or sublicense access to the Service except as permitted by your subscription plan;
- use automated means to scrape, mine, or harvest data from the Service without our prior written consent;
- misrepresent your identity, your authority to connect an account, or the source of any data.
We may suspend or terminate your account for any violation of this section.
7. Subscriptions, Fees & Billing
DropPoint offers paid subscription tiers (for example, Creator/Solo, Pro, and Agency). Fees, billing cycles, and feature limits are set out on our pricing page or in your order form. All subscriptions automatically renew for the same period unless you cancel before the renewal date.
You may cancel your subscription at any time through your account settings or by contacting us. Cancellation takes effect at the end of the current billing period; you will retain access until then. We do not provide refunds for partial months or unused periods except where required by applicable law.
Prices are exclusive of applicable taxes, duties, or levies unless stated otherwise. You are responsible for paying all taxes imposed by your jurisdiction.
Right of withdrawal for EU consumers. If you are a consumer resident in the European Union and these Terms constitute a distance contract, you generally have a 14-day right of withdrawal. However, by subscribing to a digital service that begins immediately upon your order and confirmation, and by expressly consenting to immediate performance, you acknowledge that you lose the right of withdrawal once the service has been fully performed. Business and agency users confirm that they are not consumers and that consumer protections, including the 14-day withdrawal right, do not apply to them.
8. Intellectual Property
DropPoint owns all right, title, and interest in and to the Service, including all software, interfaces, designs, trademarks, logos, and content made available by us (excluding your User Data). These Terms do not grant you any license to our trademarks or other intellectual property except as necessary to use the Service.
You retain ownership of the data you provide or that is imported from your Connected Platforms ("User Data"). You grant DropPoint a limited, non-exclusive, worldwide, royalty-free license to use, copy, process, and display User Data solely to provide, maintain, and improve the Service for you.
9. Data & Privacy
Our Privacy Policy, available at /privacy, explains how we collect, use, store, and share personal data. By using the Service, you agree to the Privacy Policy.
For data protection purposes: DropPoint acts as a data controller in respect of account and billing information you provide directly to us. DropPoint acts as a processor on your behalf in respect of analytics data imported from your Connected Platforms, and you are the controller of that data. We process such data only to deliver the Service, and in accordance with the data processing terms applicable under EU law, including Article 28 GDPR where relevant.
Where the GDPR applies, our processing is based on the necessity to perform the contract with you, your consent where required (for example, for certain cookies or marketing activities), and our legitimate interests in operating and improving the Service.
10. Disclaimers
The Service is provided on an “as is” and “as available” basis. To the fullest extent permitted by law, DropPoint disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
The Service depends on third-party APIs and platforms that may change, impose usage limits, or become unavailable. DropPoint does not guarantee uninterrupted access, real-time accuracy, or that any particular platform integration will remain supported.
11. Limitation of Liability
To the extent permitted by law, DropPoint and its affiliates, officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunities, arising out of or relating to your use of the Service, even if advised of the possibility of such damages.
DropPoint’s total aggregate liability for any claims arising out of or relating to these Terms or the Service shall not exceed the total amount paid by you to DropPoint in the 12 months preceding the event giving rise to the claim.
Nothing in these Terms limits or excludes liability that cannot be excluded under mandatory Italian or European Union law, including liability for death or personal injury caused by negligence, fraud, or willful misconduct.
12. Indemnification
You agree to indemnify, defend, and hold harmless DropPoint and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with your use of the Service, your User Data, your violation of these Terms, or your infringement of any third-party right.
13. Term & Termination
These Terms remain in effect until terminated by either party. You may terminate your account at any time by canceling your subscription and deleting your account. DropPoint may suspend or terminate your access immediately if you breach these Terms or if required by law.
Upon termination, all licenses granted to you under these Terms will cease, and you must stop using the Service. We may retain certain data as required by law, for billing and accounting purposes, or as described in our Privacy Policy. You may request export or deletion of your User Data before termination where the Service supports it.
14. Changes to These Terms
We may modify these Terms from time to time. If we make material changes, we will notify you by email or by posting a prominent notice in the Service before the changes become effective. Your continued use of the Service after the effective date of the revised Terms constitutes acceptance of the changes. If you do not agree to the revised Terms, you must stop using the Service.
15. Governing Law & Jurisdiction
These Terms are governed by the laws of Italy, without regard to conflict of laws principles. Any dispute arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of [Modena, Italy], subject to mandatory provisions of EU law.
Nothing in these Terms affects any mandatory rights you may have as a consumer under the law of your country of habitual residence, including the right of a consumer to bring proceedings in the courts of their own domicile where EU law so provides.
16. Miscellaneous
Severability. If any provision of these Terms is found invalid or unenforceable, the remaining provisions will continue in full force and effect.
Entire agreement. These Terms, together with our Privacy Policy and any order form or subscription plan you accept, constitute the entire agreement between you and DropPoint regarding the Service.
Assignment. You may not assign or transfer these Terms without our prior written consent. DropPoint may assign these Terms in connection with a merger, acquisition, or sale of assets.
Force majeure. DropPoint shall not be liable for any failure or delay in performance due to causes beyond our reasonable control, including acts of God, government actions, internet outages, or failures of third-party platforms.
